BP Plus app Portal terms and conditions

The terms and conditions set out or referred to below (the Terms) apply to the services provided in relation to the BP Plus App Portal now and in the future for use in Australia (Services). By accessing the BP Plus App Portal, you, the Account Holder (or where applicable, a person nominated by the Account Holder), confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you must not access, or must stop accessing, the BP Plus App Portal.
 
In addition to the Terms set out below, each BP Plus Authorised User associated with the Account Holder’s BP Plus App Portal Account must also agree to the BP Plus mobile application (BP Plus App) terms and conditions which can be found here.
 
For the purposes of clarity, where any conflict arises between the Terms in this document and the terms set out in any other agreement between yourself and BP for the use of BP Plus, these Terms will prevail.
Activation Email” means an email sent to either of the Account Holder or the Delegate Approver, requesting the approval of the activation of a Cardholder’s BP Plus card.
 
Account Holder” means the individual or entity that has entered into a BP Plus account agreement with BP. 
 
Alternate Approval Email” means the email address of the Delegated Approver.
 
BP” means BP Australia Pty Ltd ABN 53 004 085 616.
 
BP Plus Account” means an Account Holder’s BP Plus account with BP.
 
BP Plus App Authorised User” means a person who is authorised by the Account Holder or Delegated Approver to purchase fuel via the BP Plus App.
 
BP Plus App Portal” means the tool for managing BP Plus App Authorised Users and assigning Delegated Approvers.
 
BP Plus App Portal Account” means the account for the Account Holder contained in the BP Plus App Portal.
 
BP Plus Online” means the website that the Account Holder visits to manage their BP Plus Account, order BP Plus cards, and nominate a Delegated Approve.
 
Business Day” means a day which is not a Saturday, Sunday or public holiday or a day on which the banks are closed for business in Melbourne, Victoria.
 
Cardholder” means BP Plus cardholder associated with the Account Holder’s BP Plus Account.
 
Delegated Approver” means an individual nominated by the Account Holder to action Activation Emails. 
 
2.1 Use of the BP Plus App Portal 
 
(a) The BP Plus App Portal can only be used by an Account Holder or a person nominated by the Account Holder. Where such a person is nominated by you, you warrant and represent to us that the person nominated has the requisite authority to act on behalf of the Account Holder. 
 
(b) An Account Holder may only make use of the BP Plus App Portal where: 
 
(i) the Account Holder agrees to be bound by the BP Plus Terms and Conditions; and 
 
(ii) the Account Holder agrees to be bound by these Terms; and
 
(iii) the Account Holder registers its account with BP, by providing its email address, and where applicable, any alternate email addresses to aucustcare@bp.com.
 
(c) BP may at any time accept or reject an Account Holder application to become a registered user of the BP Plus App Portal in its sole discretion. 
 
2.2. Keeping the BP Plus App Portal Account secure
 
(a) When the Account Holder registers and sets up a BP Plus App Portal Account, the Account Holder will be required to create a BP Plus App Portal Account password.

(b) The Account Holder is responsible for ensuring that:
 
(i) the Account Holder is the only person authorised to use the BP Plus App Portal Account;

(ii) the BP Plus App Portal Account password is kept secure;

(iii) the BP Plus App Portal Account information is updated if details of the Account Holder, Delegated Approver, or a BP Plus Authorised User changes; and

(iv) all information provided by the Account Holder when a BP Plus App Portal Account is created and during its use, is up to date, accurate and not misleading.
 
(c) The Account Holder acknowledges that BP will rely on any instructions or directions received by it through the BP Plus App Portal. BP is under no obligation to check that any instruction or confirmation: 
 
(i) made through the BP Plus App Portal is from the Account Holder; or 

(ii) received from the Delegated Approver providing authorisation of a Cardholder via the Alternate Email Address is correct; or

(iii) is true or accurate. 
 
(d) Where The Account Holder reasonably believes that the security of its BP Plus App Portal Account has been compromised due to:
 
(i) the password becoming likely to become known by another person who is not the Account Holder; or

(ii) unauthorised access to the Account Holder’s BP Plus App Portal Account,
 
(iii) the Account Holder must: notify BP immediately by calling 1300 130 027, and request cancellation or temporary suspension of the BP Plus App Portal Account or a BP Plus App account (“Cancellation Request”); and
 
(iv) confirm that request in writing, by emailing aucustcare@bp.com, within 24-hours of becoming aware of the circumstances set out above.
 
(e) Security of the BP Plus App Portal Account is important to BP, however, BP cannot guarantee that the BP Plus App Portal Account will always be available, fault free and secure or that it will be free from viruses or other harmful programmes.  The Account Holder acknowledges and agrees that the Account Holder is aware of, and accepts this risk, including, without limitation, the risk that a third party may gain access to your BP Plus App Portal Account which contains personal and confidential information.
 
In respect of a suspected compromise of the BP Plus App Portal or suspected fraud or compromise of the BP Plus Card being used via a BP Plus App Account, the Account Holder acknowledges and agrees that they will notify BP immediately on becoming aware of such suspected compromise.  Notification can be made by calling BP Customer Services on 1300 130 027. 
Once registered for the BP Plus App Portal Account, the Account Holder can add BP Plus Authorised Users to their BP Plus Account and nominate Delegated Approvers. 
 
3.1. Adding BP Plus Authorised Users
 
(a) An Account Holder can invite a Cardholder to link their BP Plus account to their BP Plus card number to become a BP Plus Authorised User. To do so, the Account Holder must:
 
(i) input the Cardholder’s mobile phone number and BP Plus card number into the BP Plus App Portal; 

(ii) input a business name, trading name, or any other name recognisable to the Cardholder into the BP Plus App Portal; and

(iii) where applicable, the scope of the Cardholder’s transaction limits, and permissions to purchase certain BP goods or services using the BP Plus App.
 
(b) Upon receiving the information in cl. 3.1(a)(i) - (iii) above, BP will send the Cardholder an SMS invitation to register for the BP Plus App. If the Cardholder has already downloaded the BP Plus App, BP will send the Cardholder an in-app notification advising that it has been successfully linked to the Account Holder’s BP Plus Account.
 
(c) Please note that SMSs will only be sent to Cardholders from Monday to Friday between the hours of 9AM to 5PM, Australian Eastern Standard Time. Where a request is made by the Account Holder to link a Cardholder to the Account Holder’s BP Plus Account outside of these hours, that SMS will be sent at the next available time.
 
(d) Please note that not all BP sites will have the technical capability to automatically impose restrictions on any Cardholder’s transaction limit, or the scope of their permitted purchases of BP goods and services. You must at all times ensure that your BP Plus Authorised Users are aware of any transaction limits or restricted goods and services, and acknowledge that you will be liable for any unauthorised purchases made by your BP Plus Authorised Users.
 
(e) In the event that any BP Authorised User exceeds their transaction limit, or purchases a BP good or service that sits outside of their permitted scope of purchases, you will receive a notification from BP. Where this occurs, and for fraud prevention purposes, that BP Authorised User’s account will be temporarily suspended and will be unable to use their linked BP Plus Card or BP Plus App until you re-authorise them.
 
3.2. Setting up Delegated Approvers
 
(a) An Account Holder may delegate the authority to approve or decline Cardholder Activation Emails to a Delegated Approver. The Account Holder must nominate an Alternate Approval Email address for the Delegated Approver via the BP Plus App Portal, and nominate the BP Plus card numbers associated with that Delegated Approver. 
 
(b) Any change in the Alternate Approval Email address will become effective within 72 hours.  The Account Holder should not assume that they will be able to further update the Alternate Approval Email Address immediately upon request. 
 
(c) Actions made by the Delegated Approver to decline or approve the Cardholder’s Activation Email will be taken by BP as being actions taken as the Account Holder’s agent.
 
(d) Please note that it is not possible to alter the BP Plus card numbers associated with a Delegated Approver once they have been set. It is possible, however, to alter the contact details of the Delegated Approver.
 
3.3. Reviewing a Cardholder’s BP Plus Activation Request
 
(a) A Cardholder can add their BP Plus card number into BP Plus App following the download of the BP Plus App to their device.  This will generate an Activation Email which will be sent to the Account Holder or Delegated Approver for approval. 
 
(b) If the Activation Email is declined by the Account Holder or Delegated Approver, the Cardholder will be sent an SMS denying their request to activate the BP Plus card in the BP Plus App.
 
(c) If the Activation Email is approved, the Cardholder will be permitted to make transactions in the BP Plus App using the Cardholder’s BP Plus card in line with the transaction limits and permitted scope of purchases nominated by the Account Holder.
 
(d) The Cardholder will not be permitted to become an BP Plus App Authorised until the Activation Email is approved by the Account Holder or the Delegated Approver.
 
(e) Please note that the Activation Email will contain information that the Cardholder has entered into their BP Plus App account including their name, email and verified mobile phone number.
 
(f) The Activation Email will sent to the Account Holder or Delegated Approver will contain details of the Cardholder’s transaction limit and scope of permitted purchases. Please ensure these details are correct before authorising a Cardholder.
 
In respect of the email address provided for the Delegated Approver, the Account Holder acknowledges and agrees that the Delegated Approver has provided the Account Holder with their consent to pass their email address onto BP for the purposes of activating BP Plus.
 
In respect of any personal information provided, such as name, mobile phone number or email address, you acknowledge and agree that the Cardholder to whom the personal information relates to has provided you, the Account Holder, with their consent to pass this personal information to BP for the purposes of activating BP Plus App.
(a) During the registration process on the BP Plus App, Cardholders may consent to receive marketing material from BP. These consents can be varied by making use of the communications preferences in the BP Plus App. Where such a consent is varied, BP will action the variation within five business days.
 
(b) Save for where a Cardholders has consent to receive marketing communications in the BP Plus App, BP will not use any information provided to it by you to run marketing campaigns that are specifically and solely targeted at your customers, unless carried out with either of your explicit approval or cooperation.
 
(a) When a Cardholder is permitted by an Account Holder or Delegated Approver to use BP Plus via the Activation Email, the Cardholder will become a BP Plus Authorised User and shall be able to make transactions within the scope of their transaction limit and permitted purchases via BP Plus App on their BP Plus card, until such time that: 
 
(i) the BP Plus card is terminated;

(ii) an Account Holder revokes the BP Plus Authorised User’s ability to transact via the BP Plus App by calling BP on 1300 130 027 or by emailing XXX; or

(iii) the BP Plus card is temporarily suspended.
 
(iv) the Account Holder removes the Cardholder from the BP Plus App Portal.
 
(b) Once successfully registered on the BP Plus App Portal, the Account Holder must comply with the BP Plus App terms and conditions which can be found here.  
 
(c) In completing the registration process, a BP Plus Authorised User also agrees to their personal information being handled in accordance with the BP Plus App Portal privacy collection notice, and the BP Privacy Policy
 
(d) The Account Holder further warrants and represents to BP that it holds and has obtained all necessary consents from Authorised Users to provide their personal information to BP via the BP Plus App Portal.
 
(e) The Account Holder will be liable for these BP Plus transactions and any other purchases made using BP Plus and the BP Plus App.
 
(f) Where the Account Holder or a Delegated Approver has made an error in managing the activation process for a Cardholder, the Account Holder acknowledges and agrees that it is liable for these errors and any transactions made under the BP Plus App.
By accessing the BP Plus App Portal, you acknowledge that you have read and understood the BP Plus App Portal privacy collection notice.
(a) BP owns or has obtained a valid licence to use all copyright, trademarks and other intellectual property rights in connection with the BP Plus App Portal. All rights of ownership over and in respect of the BP Plus App Portal (other than the right to use the BP Plus App Portal in accordance with these Terms), will remain solely with BP and/or its licensors (as the case may be).
 
(b) Any use of the BP Plus App Portal in any manner not permitted under these Terms, including without limitation, resale, transfer, modification, or distribution of all or part of the BP Plus App Portal is prohibited.
 
(c) BP is not required to provide any documentation, support, telephone assistance, or enhancements or updates to the BP Plus App Portal.
(a) BP uses third party applications, services and software in the BP Plus App Portal which may gather and report information about the Account Holder in connection with the Account Holder’s use of the BP Plus App Portal.
 
(b) When the Account Holder uses the BP Plus App Portal, the Account Holder agrees to BP’s use of such third party software and services. The Account Holder also agrees to any applicable terms of use or licences, related to such third party software and services. It is the Account Holder’s responsibility to ensure that they comply with any related third party terms (other than the third party privacy policies). A breach of any such terms of use or licences will be deemed a breach of these Terms. 
(a) The Account Holder may request the removal of the BP Plus App Portal Account at any time without reason or cause.  The Account Holder must notify BP by email to aucustcare@bp.com if the Account Holder wishes to permanently delete their BP Plus App Portal Account.  By cancelling the BP Plus App Portal Account, the Account Holder’s login details and other information contained in the BP Plus App Portal App Account will be permanently deleted.
 
(b) BP reserves the right to suspend or immediately terminate the BP Plus App Portal, and of the Services, any functionality of the BP Plus App Portal, or the Account Holder’s specific BP Plus App Portal Account, with or without cause or notice, at any time.
 
(c) Where BP suspends or terminates your BP Plus App Portal Account as a result of a breach of these Terms by you, you are not permitted to create a new portal account to circumvent the suspension or termination.
 
(d) All provisions of the Terms that by their nature should survive termination will survive termination, including, without limitation, ownership provisions, indemnities and limitations of liability.
 
(a) To the extent permitted by law, the provisions of the Competition and Consumer Act 2010 (Cth) will not apply where you use the BP Plus App Portal for the purpose of a business and all other warranties and conditions whether express, implied or statutory with respect to the BP Plus App Portal and the provision of any services in respect of the BP Plus App by BP are excluded.
 
(b) To the extent permitted by law, in no event will BP, nor its directors, employees, agents, partners or any other party involved in creating, producing or delivering the BP Plus App Portal (“Representatives”), be liable under contract, tort (including negligence) or otherwise under or in connection with these Terms and/or the Account Holder’s use of or inability to use the BP Plus App Portal and any of the Services.  This applies, without limitation, to any loss or damage which you may suffer as a result of:
 
(i) any third party software and services used in the provision of the BP Plus App Portal;

(ii) any bugs, viruses, Trojans, or the like (regardless of the source of origination);

(iii) the actions or inactions of other BP Plus App Portal users;

(iv) suspension or loss of access to the BP Plus App Portal or any functionality; and/or

(v) unauthorised use or misuse of your BP Plus App Portal Account for any reason where BP has not received written notice of cancellation in accordance with clause 2.2(d). 
 
(c) The Account Holder shall indemnify BP against any claims, costs, damages, losses, liabilities, expenses or legal proceedings brought against BP by any other person as a result of unauthorised access to the Account Holder’s BP Plus App Portal Account and/or the Account Holder’s use of the BP Plus App Portal Account in breach of these Terms or any third party terms.
 
(d) The Account Holder acknowledges that the BP Plus App Portal is provided at no charge and accordingly the exclusions of liability and indemnity set out in this clause are fair and reasonable.
(a) Subject to the remainder of this clause, BP may amend these Terms from time to time by publishing an updated version on the BP Plus App Portal and BP will advise the Account Holder if it has amended these Terms.
 
(b) The changes BP can make to these Terms, without the Account Holder’s authorisation, are limited to changes:
 
(i) to reflect updates to the functionality, security, options and Services available on the BP Plus App or the BP Plus App Portal;
 
(ii) to reflect third party terms and conditions that apply to BP and/or the BP Plus App or the BP Plus App Portal;
 
(iii) that are generally beneficial to, or do not have any adverse impact on, users of the BP Plus App or the BP Plus App Portal; and/or
 
(iv) that are required to reflect changes to applicable law.
 
(c) BP will request the Account Holder’s confirmation, via the BP Plus App Portal, that the Account Holder agrees to the updated Terms if the updated Terms incorporate any other changes. The Account Holder’s continued use of the BP Plus App or the BP Plus App Portal will be subject to your confirmation that the Account Holder agrees to the updated Terms.
